Terms of Service

1. Agreement to Terms
These Terms of Service (this "Agreement") constitute a legal agreement between you ("User," "you," or "your") and Sandri.ai, Inc. ("Sandri," "we," "us," "our," or "Company"). By accessing, browsing, or using the Sandri.ai website, dashboard, MCP server, or related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
2. Service Description
Sandri.ai provides:
- MCP Server: A Model Context Protocol server that exposes AI agent tools for messaging, email, calendar, booking, reminders, search, notes, files, development, and entertainment
- Dashboard: A web-based interface for managing OAuth connections, API keys, and usage
- Agents: AI-powered agents that execute tool calls on your behalf through connected integrations
- Integrations: OAuth connections to third-party services (Gmail, Slack, Notion, GitHub, Spotify, etc.) and API-based services (Google Places, Skyscanner, OpenTable, Brave Search)
3. User Accounts and Authentication
3.1 Account Creation
You agree to:
- Provide accurate, current, and complete information when registering
- Maintain the confidentiality of your authentication credentials
- Accept responsibility for all activity under your account
- Notify us immediately of unauthorized access
3.2 Account Termination
We may terminate your account at any time for:
- Violation of these Terms
- Non-payment of fees (if applicable)
- Inactivity for 12 months
- Legal or regulatory requirements
- Abuse of the Service
Upon termination, your access to the Service and stored integrations will be disabled. Usage logs may be retained for legal or billing purposes.
4. User Conduct
You agree not to:
- Use the Service for illegal purposes or in violation of applicable laws
- Harass, abuse, or threaten other users or our staff
- Attempt to gain unauthorized access to the Service, other accounts, or systems
- Reverse engineer, decompile, or attempt to derive the Service's source code
- Use automated tools (bots, scrapers) to abuse the Service without permission
- Interfere with the Service's operation or security
- Transmit viruses, malware, or harmful code
- Spam or send unsolicited messages through integrations (e.g., via Slack, Gmail)
- Use the Service for high-volume automated requests that degrade performance
- Resell or redistribute the Service without authorization
5. Intellectual Property
5.1 Our Rights
Sandri.ai retains all right, title, and interest in:
- The Service, including its software, code, design, and documentation
- Trademarks, logos, and brand names
- Improvements and insights derived from aggregate usage data (non-personally identifiable)
5.2 Your Rights
You retain ownership of:
- Content you create or provide (emails, notes, messages, etc.)
- Personal data associated with your account
You grant us a license to use your data only as necessary to provide the Service.
6. Third-Party Integrations
6.1 OAuth Tokens and API Keys
When you connect a third-party service:
- You authorize Sandri to access that service on your behalf using the provided tokens
- You remain responsible for your account security with third-party services
- Sandri is not responsible for third-party service outages, changes, or policy violations
- Third-party services have their own terms and privacy policies
6.2 Third-Party Terms
Your use of third-party services (Gmail, Slack, GitHub, Spotify, etc.) is governed by their terms of service. We are not liable for their conduct, availability, or data handling practices.
7. Acceptable Use of Agents
7.1 Responsible AI Use
You agree to use agents responsibly:
- Do not use agents to generate content intended to deceive, harass, or harm others
- Do not attempt to extract sensitive information from agents or integrations
- Do not use agents to circumvent security controls of third-party services
- Provide clear context and verify agent outputs before acting on them
7.2 Limitations
Agents are provided "as-is" and may:
- Make mistakes or produce inaccurate results
- Fail to complete tasks correctly
- Require human review before actions are taken
You are responsible for reviewing all agent outputs and confirming their accuracy.
8. Billing and Payment
8.1 Pricing Tiers

8.2 Payment Terms
- Billing occurs monthly on your account anniversary
- Payment is non-refundable except as required by law
- We reserve the right to change pricing with 30 days' notice
- Tier downgrades take effect at the end of your current billing period
- Tier upgrades are prorated
8.3 Overages and Limits
- Exceeding your tier's tool call limit will pause the Service
- We do not auto-charge for overages without explicit opt-in
- Contact us to increase limits or upgrade your tier
9. Limitations of Liability
9.1 Disclaimer of Warranties
The service is provided "as-is" without warranties of any kind, express or implied, including:
- Fitness for a particular purpose
- Merchantability
- Non-infringement
- Accuracy or completeness
We do not warrant that the Service will be:
- Uninterrupted or error-free
- Free from viruses or harmful code
- Available at all times
9.2 Limitation of Damages
To the maximum extent permitted by law, sandri shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of data, revenue, or profits
- Business interruption or opportunity costs
- Damages arising from third-party services or integrations
Our total liability shall not exceed the amount you have paid Sandri in the past 12 months, or $100, whichever is greater.
9.3 Exceptions
These limitations do not apply to:
- Gross negligence or willful misconduct
- Violations of law that cannot be waived
- Fraud or intentional misrepresentation
10. Indemnification
You agree to indemnify and hold Sandri harmless from any claims, damages, or costs arising from:
- Your use of the Service in violation of these Terms
- Your content or data transmitted through the Service
- Your use of integrations or third-party services
- Your violation of third-party rights or laws
11. Data Processing
11.1 Data Controller and Processor
- You are the data controller for your personal data
- Sandri is the data processor and acts only on your instructions
- We process data only as necessary to provide the Service
11.2 Data Processing Addendum
For users subject to GDPR or CCPA, a Data Processing Addendum is available upon request.
12. Availability and Uptime
We aim to maintain 99% uptime but do not guarantee it. The Service may be unavailable for:
- Scheduled maintenance (posted in advance when possible)
- Emergency security patches
- Third-party service outages
- Force majeure events
We are not liable for damages caused by downtime.
13. Modifications to the Service
We reserve the right to:
- Modify, suspend, or discontinue the Service with 30 days' notice
- Add, remove, or change features
- Change pricing (with 30 days' notice)
- Migrate data or integrations to new platforms
If we discontinue the Service, we will provide data export options.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of California, without regard to conflicts of law principles. Any disputes shall be resolved in the courts of California, unless a different jurisdiction is required by law.
By using the Service, you consent to the exclusive jurisdiction of California courts.
15. Dispute Resolution
Before filing a legal action, we encourage you to:
- Contact us at support@sandri.ai to resolve the issue
- Participate in good-faith negotiation for 30 days
- Consider non-binding mediation if negotiation fails
If litigation becomes necessary, you and Sandri agree to submit to binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules, except for disputes involving:
- Intellectual property infringement
- Unauthorized account access
- Injunctive relief
16. Entire Agreement
These Terms, along with our Privacy Policy and any additional terms posted on the Service, constitute the entire agreement between you and Sandri regarding the Service. Any prior agreements, understandings, or representations are superseded.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
18. Waiver
Failure to enforce any provision does not constitute a waiver of that provision or the right to enforce it later.
